MEMBERSHIP AGREEMENT

This Agreement applies to girlfriendsmeetup.com, thepathwaytofriendship.com, thegirlfriendsweekend.com, enfluenced.com, and piperproductions.com, collectively the (“Websites”), which are operated by Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates, or licensors.  This Agreement also applies to interactive features or downloads, owned or controlled by Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates, or licensors, that are available through the Websites or that interact with the Websites that post this Agreement.

I hereby affirm that I am a woman 21 years of age or older at the time of the submission of this membership subscription.  I agree that I have the legal right and capacity to enter into this Agreement in my jurisdiction and agree to comply with the Terms.

I agree that all information I provide to Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates or its licensors is true, accurate, complete and current.  I agree to hold, and will continue to hold, all rights necessary to enter into and perform my obligations under this Agreement.  I also agree that I will be responsible for obtaining and maintaining all modem, telecommunications equipment, computer hardware, wireless devices and other equipment needed for access to and using the Websites and will be responsible for all charges related thereto.

I authorize Girlfriends Meet | Up, LLC to bill my credit card for my membership subscription charges selected on my membership form.  I understand that Girlfriends Meet | Up membership subscriptions are solely for socializing and making new friends and are not to be used for network marketing or any other form of solicitation of active Girlfriends Meet | Up members or guests.  Therefore, I understand that my membership shall not be used for networking or solicitation of goods or services to active Girlfriends Meet | Up members or guests.  I understand that in the event I violate any rules and regulations of Girlfriends Meet | Up my membership subscription will be cancelled without a refund of any kind.

I hereby grant Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates, or licensors the unrestricted right to use, publish, distribute, and print photographs, audio, and videos containing my image or name, without compensation.  All images or audio in any form are owned by Girlfriends Meet | Up, LLC.  I hereby release Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates, or licensors from all claims and liability relating to said photographs, audio, and videos.

I hereby agree to defend (if requested by Girlfriends Meet | Up, LLC), indemnify and hold harmless Girlfriends Meet | Up, LLC and/or its members, subsidiaries, affiliates, or licensors from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, settlements and expenses, including attorney fees, that directly or indirectly arise from or are otherwise directly or indirectly related to User Content by my use of the Websites.  This includes any violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities.  It also includes information or material transmitted through my computer or other device used to access the Websites, even if not submitted by me, which infringes, violates or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy or other right of any person or defames any person.

I will cooperate as fully required by Girlfriends Meet | Up, LLC in the defense of any claim. Notwithstanding the foregoing, Girlfriends Meet | Up, LLC retains the exclusive right to settle, compromise and pay any and all claims, demands, proceedings, suits, actions or causes of action which are brought against them herein under the terms and provisions of this agreement.  Girlfriends Meet | Up, LLC reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by myself, and I will not, in any event, settle any claim without the prior written consent of a duly authorized representative of Girlfriends Meet | Up, LLC.

I hereby agree, for good consideration, to jointly and severally release, acquit, forgive, and discharge Girlfriends Meet | Up, LLC and all its undersigned from any and all claims, actions, suits, demands, agreements, and any liability, judgment, and proceedings, both at law and in equity, arising from my membership subscription or any association with members (online or in person), GMU Rewards® participants, and Girlfriends Meet | Up, LLC subsidiaries, affiliates or licensors for the term or my membership subscription and as more particularly related to or arising from any and all Girlfriends Meet | Up, LLC sponsored events.

If my right to use the Websites is cancelled for any reason, all rights granted to me under this Agreement will cease immediately, and I agree to immediately suspend use of the Websites, including links to the Websites, and destroy all materials obtained from the Websites, and all related documentation.

This release shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives.

I agree to the terms and conditions of this Agreement and agree to abide by the general rules and regulations governing this Agreement which is part of this application.  By checking the box below I confirm that I have read and agree that the Agreement between myself and Girlfriends Meet | Up, LLC is a binding Agreement.
